Whereas the group which is assembled at the destination resort for the purpose of uplifting and encouraging people shall be referred to as 'Mastermind' for the remainder of this agreement.

Whereas the participant shall be referred to as 'Participant' for the remaining of this agreement.

Whereas the participant acknowledges they are emotionally fit for the participation in said Mastermind group. Participant is hereby assumes the responsibility to verify all information given to them during Mastermind by their respective Legal Council, Chartered Public Accountants, Book Keepers, and Insurance agents, before implementing the legal and tax strategies or other tools the participants may have been privy to during Mastermind Live Event and Virtual zoom calls pertaining to the Play and Grow Wealthy Partners Program.

Whereas Monica Nagpal shall lead said Mastermind she is operating within the company named Play and Grow Wealthy. Whereas other Service Providers shall be referred to as 'Presenters' for the remainder of this agreement.

Whereas 'Presenters' may be brought in during the Mastermind in person events as well as the zoom calls for the purposes of discussing topics related to personal and spiritual development, Neuro Linguistic Programming, Sales, Marketing, Finance, Real Estate, Crypto Currency or Foreign Exchange, Tax Strategies and/or other topics related to Law and the legal structuring of companies and assets and retirement planning.

Whereas it may appear that Monica Nagpal and Presenters are conducting this Mastermind together, Presenters and other speakers shall be present only for the purposes of complimenting the information which Monica Nagpal is presenting to add value or present an opportunity to network within the group of Participants. Coaches and Presenters are neither conducting nor facilitating said Mastermind, therefore all Coaches and Presenters are indemnified by the Participant, and held harmless from any and all claims whatsoever, regardless of their nature, including but not limited to: loss, emotional distress, or any financial claim which may arise from a misappropriation or misunderstanding of the information imparted by any Coaches or Speakers, including Monica Nagpal, at the Live Event and zoom alls. Losses including but not limited to financial loss, opportunity costs or damages, liquidated damages of any and all kinds whether financial or mental or psychological or physical. Participant carries the onus of their own understanding of the material presented, the application of the material, and any action they take or fogoe, and the consequences resulting from their action, at all times during and after the live event and group calls associated with Play and Grow Wealthy.

Whereas Participant is aware and furthermore specifically agrees and that the sole onus of all responsibilities financial or otherwise, related to any decision made during or after the live Mastermind event or zoom calls related to but not limited to the following: restructuring of their assets, opening or closing businesses, buying or selling a business, tax strategies, investment choices, asset evaluation spreadsheets, joint venture or partnership with another participant or group of participants. Participants will have access to templated operating agreements and Spreadsheets during the Mastermind and these may facilitate evaluation of assets or business, partnership and joint ventures within the group of Participants. However the use of said Operating Agreements and Spreadsheets are at the sole discretion of Participant. Furthermore, Participant is encouraged to seek the professional review of the templated Operating Agreements with their own respective attorneys before signing. Participants are encouraged to seek the review of the Spreadsheets with their CPAs and Financial Advisors before executing any agreements between the Participants at the Live event or during a zoom call. Participants are encouraged to seek tailor made Legal Operating Agreements which may better suit the individual's needs for their business, venture and/or partnership. The templated agreements Provided by Monica Nagpal and or Play and Grow Wealthy are intended to be a BASIS for beginning a conversation about the professional relationship which the Participants may wish to explore. The Operating Agreement should be considered a basis to begin forming clarity of gross and generalized clauses such as voting interests, and percentage of ownership. It is not intended to be a conclusive, thorough agreement which covers all the partners involved on all accounts, clauses, and it is not to be considered a well thought out governance of their unique ventures. The Operating Agreement provided by Monica is merely example, and intended to facilitate of business, the commencement of communication and the beginning of a partial agreement related to partnership and joint ventures. Execution of Operating Agreement during the event without fully considering all options and possibilities related to risk, liability, exposure, and percentage ownership is not recommended. Participant agrees to hold harmless and indemnifies Monica Nagpal and Play and Grow Wealthy for any and all claims or recourse related to 'buyers remorse' if the Participant executes the templated Operating Agreement during the Mastermind Event or after the event. Participant agrees that any final decisions made and execution of any agreements related to their own estate, assets, businesses, enterprise and partnership, whether for a new venture or modification of an existing one, shall be the consequential and sole barer of the risk(s), reward(s), opportunity cost(s), exposure to liabilities and or otherwise not specified herein, associated to such actions and decisions. In simple words, the Participant bares ALL risks and rewards associated to any and all decisions he or she made, now and forever, by use of the Operating Agreements, and Spreadsheets, whether contemplated or not, and therefore participants agrees to defend Monica Nagpal and her companies and hold them harmless and free of claims now and forever.

At any and all times during the Mastermind gatherings or group or private zoom calls, if Participant feels uncomfortable with the language, information, music, meditations, or activities presented to the group or for any reason whatsoever and if they are made to feel uncomfortable in any way, Participant agrees to remove themselves from the group immediately. Silence and/or continuing attendance of said Mastermind shall constitute acquiescence and affirmed consent to all content, material, activities, and information and furthermore agree that the material and the manner in which material is delivered is suitable for Participant in every way.

Whereas Monica Nagpal hereby declares that She is not directing Participants to copy, follow, obey, or implement the same strategies which she describes during the live event and/or zoom calls. The information delivered by way of talk, lecture, presentation slides or group exercises is for the sole purpose of entertainment and group collaboration and to spiritually uplift and unite the group for their own interests and the positive effects this may have on society and on eachother. The participants are not advised to imbibe any specific beliefs including but not limited to any specific religion, themselves, God, or others, any specific culture or race or group of people, genders, money, finance, legal or tax strategy. Monica Nagpal and Play and Grow Wealthy and the Coaches which may appear from time to time as speakers do not make any recommendations about any specific course of action or non action, for or against a group of people, or specific culture or to invest in, buy or sell any specific business, nor take any course of action whatsoever. Participants hereby acknowledge and firmly agree that Monica Nagpal and Play and Grow Wealthy are hereby indemnified and held harmless from any claims whatsoever, including death and injury related to excessive risk taking behaviors or participation in adventurous excursions or activities related to Play and Grow Wealthy. Participants affirm that the sole onus of all decisions made by Participants during and after the Mastermind is made according to their own beliefs and choices and the results, profits and or losses, and otherwise that are born from such decisions are not associated to Play and Grow Wealthy and Monica Nagpal or her companies, in any way. Play and Grow Wealthy does not encourage the participants to participate in any physical or financial activity which the Participant does not wish to partake in. Silence and continued passive participation by the Participant during the live or virtual events and zoom calls constitutes acquiescence and furthermore shall be considered an affirmed consent to the material, activities, excursions and suggestions being presented by Play and Grow Wealthy and Monica Nagpal and same indemnifications also applies to her Coaches, and Guest Speakers.

Specifically, Monica Nagpal, Play and Grow Wealthy, and Elite Estates Enterprises Inc shall be The Participants take full responsibility and indemnify and hold harmless the LLCs and individual named above, and their interactions with each other and participation physical activities and vacation excursions during the live event their individual mindset, emotional state, physical fitness and well being are the Participants responsibility. Physical injury or even death resulting from any of the group activities and or participation in excursions or adventurous activities, whether during the Mastermind event, or afterward as it may be related to excessive risk taking behaviors, a new mindset or way of thinking, the encouragement of Monica, or the other participants, "peer pressure" or otherwise – whether resulting in injury and/or even death – all claims are now and forever are waived by the Participant against Monica Nagpal, Play and Grow Wealthy, Elite Estate Enterprises, and her other companies. There can be no situation which arises now and forever which can constitute a basis for any claim or recourse of any kind against Monica Nagpal or her companies and such agreements as made herein are specifically irrevocable and binding upon the parties.

Structure of Seminar Mastermind:

Mastermind group coaching sessions shall be held in person at a Venue/Resort which will change from time to time. The Resort and Venue shall also be held harmless by the Participant of the Mastermind. The Seminar will take place over 4 days, Friday – Monday afternoon, checking out on Monday at 11am. The conference will end by 2pm on Monday, If the participant chooses to stay beyond the seminar dates, they assume the responsibility related to all charges associated to their room passed the Event dates. Food, entertainment, and drinks are pre – arranged and are included in the event by Play and Grow Wealthy. No Room Service or separate bar tabs will be paid for by Play and Grow Wealthy. If such charges are made to be billed to room number, such charge will be paid by the Participant directly to the hotel and is not the responsibility of PGW and Monica Nagpal.

Investment for one: $8996 USD

If participant wishes to make payments in the installment plan, then Participant agrees to allow their credit card to be charged on a monthly basis, on the same date each month of their original charge. Total payment for the event must be paid with no remaining balance due 10 days before the event commences. If full payment is not made, participant will be notified in writing that the amount collected is deficient of the total amount due, if Participant does not make their final payments in full then the amount paid shall be applied to a future Play and Grow Wealthy Live mastermind event.

Refunds: Participant agrees that there shall be no refund once payment is made. The participant is encouraged to partake in and enjoy the Mastermind. If there is a conflict and he cannot participate in the event, participant may choose to apply the fees of the Seminar to a future Play and Grow Wealthy Mastermind Event and reserve his seat for the future event. Such change in which seminar he will choose to move to shall be subject to availability of seats available for such accommodation of requests for change, at the sole discretion of Play and Grow Wealthy. Participant may not assign his ticket to another individual for any reason.

Disclaimer: Play and Grow Wealthy reserves the right to refuse to do business with any individual, group or business. If such a decision is made, then your ticket shall be refunded within 30 days of the event which was denied entry to. Reasons for denying entry may include but is not limited to unruly conduct, outwardly loud and or disrespectful behavior, deemed inappropriate by Play and Grow Wealthy, or any misrepresentation of information to Play and Grow Wealthy and others within the group.

Monica Nagpal has no previous knowledge of the specific goals or intentions of any Participant and/or prior mindset of Participant and is hereby indemnified by the Participant and his/her companies to any and all claims now and forever. Play and Grow Wealthy may refuse to do business with any Participant upon the sole discretion of Monica Nagpal, and upon refusal, a full refund shall be issued within 30 days.

Monica Nagpal has no certifications for coaching, NLP, and has no specific training which creates her to be an authoritarian or expert in the field of mindset coaching, local or federal taxes, legal advice nor financial structuring of businesses. The Live Masterminds are for the purposes of improving on life skills and to teach mental health techniques, and meditations which may help the Participants gain confidence, mental strength, motivation and positive thinking and decreased levels of stress which has worked for Monica in her personal life. Monica is sharing her personal mindset and tools and techniques which have provided value to her personal life and professional career. However specifications with regard to how Participant wishes to use these tools and techniques and the results achieved thereafter are according to Participant's sole discretion and according to their own risk vs. reward capacity. Therefore, Participant hereby agrees to release, hold harmless and indemnify Monica Nagpal and Play and Grow Wealthy from any claims and liability, liquidated damages and any losses whatsoever, whether financial or personal, physical or mental, or from any claim whatsoever. Play and Grow Wealthy and Monica Nagpal make no assertions or guarantees as to whether or not a Participants will achieve or fall short of their goals, the appropriation or misappropriation or misunderstanding of any information collected by the Participant during the Mastermind or zoom calls, as it may relate to any activity for or against any community, race, or as it may relate to any actions whatsoever in the participant's life. Any activities the Participant wishes to partake in or forge, after Participant attends the Mastermind Seminar or zoom calls is unrelated to Monica Nagpal, Play and Grow Wealthy, and her other companies in every way.
